What exactly is Rev. Proc. 2026-8?
Rev. Proc. 2026-8 is the IRS’s first update to group exemption letter rules since 1980. It replaces Rev. Proc. 80-27 and sets new requirements for how central organizations must supervise, document, and maintain compliance across their subordinate chapters. It took effect January 20, 2026.
The transition period for preexisting group exemption letters ends January 22, 2027. Before that date, central organizations must ensure all chapters meet the new affiliation, supervision, and matching requirements — or remove non-compliant chapters from the group exemption letter.
If more than half of your subordinate chapters lose their exempt status for failure to file, the IRS can terminate your entire group exemption letter — affecting every chapter, not just the non-filers.
No. Rev. Proc. 2026-8 explicitly states that a 990-N does not satisfy the central organization’s supervision requirement. You must collect an actual 990 or 990-EZ, or obtain additional written information from chapters that only file a 990-N.

Compliance means following the rules. Audit-readiness means being able to prove it immediately when asked. Many associations are technically compliant but cannot produce chapter documentation quickly under scrutiny. Rev. Proc. 2026-8 raises the bar on both — and the IRS can terminate your group letter without warning.

The rules are in effect. The deadline is January 22, 2027.
